超巨科技有限公司简称“CLPAI” ，产品为 CLPAI Agent 提供人工智能模型API及智能化工作流服务。我们作为技术服务提供商，致力于协助开发者和企业用户更高效、便捷地接入和使用这些大型语言模型与数字员工（Agent）服务。

SUPER GIANT TECHNOLOGY CO., LIMITED.(hereinafter referred to as "CLPAI"), and its product CLPAI Agent, provide artificial intelligence model APIs and intelligent workflow services. As a technical service provider, we are committed to assisting developers and enterprise users in accessing and using these large language models and digital employee (Agent) services more efficiently and conveniently.

2. 账户安全与实名认证

2. Account & Security

• 实名合规：根据《中华人民共和国网络安全法》等相关法律法规要求，您在注册及使用本服务时，必须提供真实、准确、有效的身份信息审核后使用。 Real-name Compliance: In accordance with the Cybersecurity Law of the People's Republic of China and relevant regulations, you must provide real, accurate, and valid identity information for verification when registering and using this service.
• 凭证保管：您有责任妥善保管您的 API Key、账号密码等凭证。任何通过您的 API Key 或账户产生的调用与消耗，均由您自行承担。 Credential Safeguarding: You are responsible for properly keeping your API Key, account passwords, and other credentials. Any calls and resource consumption generated through your API Key or account are your sole responsibility.
• 异常处理：如果我们发现您的账户存在异常行为、安全风险或涉嫌违反实名制规定，我们有权限制、暂停或终止您的账户访问权限。 Exception Handling: If we detect abnormal behavior, security risks, or suspected violations of real-name regulations associated with your account, we reserve the right to restrict, suspend, or terminate your access.

3. 合规与可接受使用政策

3. Acceptable Use Policy

您同意不得将我们的服务用于以下用途：

You agree NOT to use our services for the following purposes:

• 违法违规内容：生成、传播违反国家法律法规、危害国家安全、破坏社会稳定、宣扬恐怖主义、极端主义、民族仇恨、暴力、淫秽色情或教唆犯罪的内容。 Illegal Content: Generating or disseminating content that violates national laws and regulations, endangers national security, disrupts social stability, promotes terrorism, extremism, ethnic hatred, violence, obscenity, or instigates crimes.
• 虚假与侵权信息：制作、发布虚假新闻、虚假营销内容（如虚构商品评价、欺诈消费者）；侵犯他人名誉权、肖像权、隐私权、知识产权或其他合法权益。 False and Infringing Information: Creating or publishing fake news or fraudulent marketing content (e.g., fictitious product reviews to deceive consumers); infringing upon others' reputation rights, portrait rights, privacy rights, intellectual property rights, or other lawful rights and interests.
• 破坏系统：从事任何干扰、破坏我们服务或服务器网络安全的行为（例如 DDoS 攻击、恶意高并发滥用、非法抓取）。 System Disruption: Engaging in any activities that interfere with or disrupt the security of our services or server networks (e.g., DDoS attacks, malicious high-concurrency abuse, illegal data scraping).
• 逆向工程：对本平台系统或提供的 API 进行逆向工程、破解或试图破坏系统完整性。 Reverse Engineering: Reverse engineering, cracking, or attempting to compromise the structural integrity of this platform or the provided APIs.
• 违反上游政策：违反任何上游模型提供商的使用政策与限制。 Violating Upstream Policies: Breaching the usage policies and restrictions set by any upstream model providers.

4. 数据安全与个人信息保护

4. Data Security & Privacy

• 隐私保护：我们严格遵守《中华人民共和国个人信息保护法》，仅在提供服务所必需的范围内收集和处理您的数据。 Privacy Protection: We strictly comply with the Personal Information Protection Law of the People's Republic of China, collecting and processing your data only within the scope necessary to provide the services.
• 数据处理原则：我们不会将您的私有业务数据、提示词（Prompt）或生成结果用于模型训练，除非获得您的明确授权。 Data Processing Principles: We will not use your private business data, prompts, or generated output for model training unless we receive your explicit authorization.
• 敏感信息阻断：您在使用服务时，应避免输入核心商业机密或未经授权的他人敏感个人信息。针对违反法律法规的输入，系统内置的合规审查机制有权进行拦截。 Sensitive Information Blocking: When using the service, you should avoid inputting core trade secrets or unauthorized sensitive personal information of others. Our system's built-in compliance review mechanism has the right to intercept inputs that violate laws and regulations.

5. 支付、计费与退款

5. Payments, Credits & Refunds

• 预付费模式：我们的服务采用预付费（充值扣费）机制。您必须在账户余额充足的情况下才能调用 API 或使用 Agent 服务。 Prepaid Model: Our service operates on a prepaid (recharge and deduct) mechanism. You must maintain a sufficient account balance to call APIs or use Agent services.
• 汇率与计价：法定货币与平台额度之间的兑换比例由平台制定，并可能根据市场情况进行调整。具体计费倍率依据不同模型及上游成本动态变化，请以定价页面的实时费率为准。 Exchange Rate & Pricing: The exchange rate between fiat currency and platform credits is determined by the platform and may be adjusted based on market conditions. Specific billing multipliers dynamically change according to different models and upstream costs. Please refer to the real-time rates on the pricing page.
• 不可退款：鉴于数字商品及 API 服务的特殊性，所有充值一经成功概不退款。建议您在进行大额充值前，先使用小额资金进行业务测试。 Non-refundable: Given the unique nature of digital goods and API services, all successful recharges are strictly non-refundable. We highly recommend using small amounts for business testing before making substantial top-ups.

6. 生成内容规范与免责声明

6. Content Guidelines & Disclaimer of Warranties

• “按现状”提供：本服务按“现状”和“现有”基础提供，不带有任何明示或暗示的担保。 "As Is" Basis: This service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied.
• 内容核验义务：人工智能生成的内容存在一定的概率性与不可预测性（即“幻觉”）。您在将生成内容（如商品 Listing、营销文案、客服回复）用于商业发布前，必须进行人工核对。CLPAI Agent 对生成内容的准确性、完整性及合法性不承担绝对担保责任。 Content Verification Obligation: AI-generated content inherently involves a degree of probability and unpredictability (i.e., "hallucinations"). Before using generated content (such as product listings, marketing copy, or customer service replies) for commercial release, you must manually verify it. CLPAI Agent bears no absolute guarantee regarding the accuracy, completeness, or legality of the generated content.
• 上游稳定性：我们依赖第三方上游模型提供商的服务稳定性。如果官方接口出现故障或网络波动，我们的服务亦可能受到影响，我们不保证 100% 的无间断运行。 Upstream Stability: We rely on the service stability of third-party upstream model providers. If official interfaces experience failures or network fluctuations, our services may also be affected. We do not guarantee 100% uninterrupted operation.
• 技术故障：虽然我们尽最大努力保护您的数据，但对因不可抗力或不可预见的技术故障导致的数据丢失或泄露，我们不承担连带赔偿责任。 Technical Failures: While we make every effort to protect your data, we are not jointly liable for data loss or breaches caused by force majeure or unforeseeable technical failures.

7. 违约与服务终止

如果您违反了本协议中的任何条款（特别是合规使用政策），CLPAI Agent 保留随时单方面暂停或终止您访问权限的权利，且无需提前通知或承担任何退款及赔偿责任。因您的违规行为给平台造成损失的，我们保留追究法律责任的权利。

If you violate any terms of this agreement (especially the Acceptable Use Policy), CLPAI Agent reserves the right to unilaterally suspend or terminate your access privileges at any time without prior notice or any obligation for refunds or compensation. We reserve the right to pursue legal liability for any losses caused to the platform by your violations.

8. 条款修改与法律适用

8. Changes & Governing Law

• 条款修改：我们可能随时修改本服务条款。一旦条款发生变更，我们将在平台显著位置予以公告。您在变更后继续使用本服务，即视为接受最新条款。 Terms Modification: We may revise these Terms of Service at any time. Once changes occur, we will announce them in a prominent location on the platform. Your continued use of the service following any modifications constitutes your acceptance of the updated terms.
• 管辖法律：本协议的订立、执行、解释及争议的解决均适用中华人民共和国法律。如双方就本协议发生争议，应友好协商解决；协商不成的，应提交至平台运营方所在地有管辖权的人民法院诉讼解决。 Governing Law: The formation, execution, interpretation, and dispute resolution of this agreement shall be governed by the laws of the People's Republic of China. Any disputes arising from this agreement should be resolved through friendly negotiation; if negotiation fails, the dispute shall be submitted to the people's court with jurisdiction at the location of the platform operator.
